BuildEx Terms and Conditions

1. About BuildEx

• BuildEx is a digital marketplace that connects clients and service providers.
• BuildEx is not a contractor, subcontractor, construction company, project manager, engineering consultant, architectural consultant, employer, or agent of any user.
• BuildEx is not a party to any agreement, quotation, contract, or transaction entered into between users.
• BuildEx only provides the platform and tools that allow users to connect and communicate.

2. User Eligibility

Users must:

• Be at least 18 years old or legally capable of entering into contracts.
• Provide truthful, accurate, and complete information.
• Maintain only one primary account unless otherwise authorized.
• Comply with all applicable Philippine laws and regulations.

3. User Accounts

Users are responsible for:

• Keeping login credentials confidential.
• All activities conducted under their account.
• Immediately reporting unauthorized access.
• Keeping account information accurate and updated.

BuildEx reserves the right to suspend or terminate accounts that violate these Terms.

4. Contractor Responsibilities

Contractors are solely responsible for:

• Their profile information.
• Business registrations and licenses.
• Portfolio uploads.
• Project posts.
• Quotations.
• Workmanship and quality of work.
• Safety practices.
• Taxes and government compliance.
• Permits and licenses.
• Employee and worker conduct.
• Compliance with all applicable laws.

5. Client Responsibilities

Clients are responsible for:

• Reviewing contractor qualifications.
• Carefully evaluating quotations.
• Negotiating project terms.
• Inspecting completed work.
• Making payments according to their agreements.
• Entering into contracts at their own discretion.

6. Verification Badges

BuildEx may issue verification badges after reviewing submitted documents.

Verification badges indicate only that the submitted documents were reviewed based on the information available at the time of verification.

A verification badge does NOT guarantee:

• Professional competence.
• Quality of workmanship.
• Honesty.
• Financial capability.
• Future legal compliance.
• Project success.
• Continuous validity of registrations or licenses.

7. Verification Documents

By submitting verification documents, users certify that:

• All submitted documents are authentic.
• Documents have not been forged or altered.
• Documents belong to the user or their business.
• The user is legally authorized to submit them.

Required documents may include:

• Government ID.
• Selfie holding the Government ID.
• DTI Registration.
• SEC Registration.
• Secretary's Certificate, if applicable.
• PCAB License, if applicable.

8. Fraudulent Documents

Users who submit forged, altered, stolen, falsified, expired, misleading, or unauthorized documents:

If fraudulent documents successfully pass BuildEx verification due to sophisticated deception, the submitting user remains fully liable under applicable laws.

BuildEx shall be considered a victim of such fraudulent submissions and reserves the right to cooperate fully with law enforcement agencies.

• Are solely responsible for all legal consequences.
• May have their verification rejected.
• May have their account suspended or permanently banned.
• May be reported to the appropriate government authorities.
• May face civil, criminal, or administrative liability.

9. Quotations

BuildEx does not:

• Approve quotations.
• Guarantee quotation accuracy.
• Recommend pricing.
• Participate in negotiations.
• Guarantee project awards.

All quotations remain solely between the contractor and the client.

10. Reviews and Ratings

• Only eligible users who completed a verified engagement through BuildEx may leave reviews.
• Reviews must be honest, accurate, and respectful.
• Fake, misleading, abusive, defamatory, or retaliatory reviews may be removed.
• BuildEx reserves the right to moderate reviews.

11. Messaging

Users shall not use BuildEx messaging for:

• Harassment.
• Threats.
• Spam.
• Fraud.
• Illegal activities.
• Offensive content.
• Hate speech.
• Malware distribution.
• Misleading or deceptive communications.

12. Prohibited Activities

Users shall not:

• Create fake accounts.
• Impersonate another person or company.
• Submit false information.
• Circumvent verification procedures.
• Upload malicious software.
• Manipulate reviews or ratings.
• Misrepresent qualifications.
• Reverse engineer the application.
• Attempt unauthorized access.
• Interfere with platform operations.
• Harvest or scrape user data.

13. Intellectual Property

• All BuildEx logos, trademarks, designs, software, graphics, and content remain the exclusive property of BuildEx.
• Users retain ownership of content they upload.
• Users grant BuildEx a non-exclusive license to display uploaded content solely for operating, maintaining, and promoting the platform.

14. Payments

BuildEx may charge fees for:

• Verification services.
• Premium features.
• Advertising services.
• Future subscription services.

Applicable fees will always be disclosed before payment.

15. Account Suspension

BuildEx may suspend or permanently terminate accounts for:

• Fraud.
• Fake documents.
• Misrepresentation.
• Abuse.
• Illegal activities.
• Security threats.
• Repeated policy violations.

16. Limitation of Liability

BuildEx is solely a technology platform connecting clients and contractors.

To the maximum extent permitted by law, BuildEx shall not be liable for:

• Construction defects.
• Poor workmanship.
• Project delays.
• Contract disputes.
• Payment disputes.
• Property damage.
• Personal injuries.
• Financial losses.
• Business losses.
• Contractor negligence.
• Client negligence.
• Fraud committed by users.
• Misrepresentation by users.
• Breach of agreements between users.

All agreements and responsibilities remain solely between the client and contractor.

17. Indemnification

Users agree to defend, indemnify, and hold harmless BuildEx, its owners, officers, employees, affiliates, and partners from any claims, liabilities, damages, losses, costs, or legal expenses arising from:

• Their use of the platform.
• Their projects.
• Their uploaded documents.
• Their contracts.
• Their violation of these Terms.
• Their violation of applicable laws.

18. Force Majeure

BuildEx shall not be liable for delays or failures caused by events beyond its reasonable control, including:

• Natural disasters.
• Internet outages.
• Government actions.
• Cyberattacks.
• Labor disputes.
• Utility failures.
• Other force majeure events.

19. Changes to the Platform

BuildEx reserves the right to:

• Modify features.
• Suspend features.
• Remove features.
• Improve services.
• Update functionality.
